34.7You must use your Securatrak Solution in accordance with our Acceptable Use Policy available via www.telstra.com.
Eligibility
34.8To be eligible for a Securatrak Solution you must have an ABN, ACN or ARBN.
Software Licence Terms
34.9Where you purchase any Securatrak Software from us, we will grant you a non-exclusive and non-transferable licence to use the Securatrak Software (and any associated documentation) as part of the Securatrak Solution solely for your own internal business purposes. 34.10You understand that you must not: (a)copy, reproduce or modify the Securatrak Software (or any associated documentation) or create any derivate work from Securatrak Software; (b)sell, rent, lease, loan, license, sublicense or otherwise transfer the Securatrak Software (or any associated documentation) to any third party; (c)cause or allow the disassembly, decompilation or reverse engineering of the Securatrak Software or otherwise attempt to gain access to the source code of the Securatrak Software; (d)use the Securatrak Software for any unlawful, abusive, offensive or fraudulent purpose; (e)use the Securatrak Software in a manner that infringes any law, regulation or standard; (f)disclose any confidential information provided to you by Securatrak to a third party (including any documentation provided to you in connection with the Securatrak Solution) except to the extent that it is necessary to disclose that information to your employees, agents or officers for the purpose of their use of the Securatrak Solution or where you are required by law to disclose that information; or (g)cause or allow any third party to do any of the acts described in paragraphs 34.10(a) to 34.10(f) above. 34.11You understand that you have no rights or interests in the Securatrak Software other than those expressly granted in this section.
Data Plans
34.12Your Securatrak Software licence also includes a data plan. 34.13You must not extract the SIM from the Securatrak Hardware device, which may only be used in the particular Securatrak Hardware device and in accordance with these terms.
Contract term
34.14You can purchase the Securatrak Solutions on either: (a)an upfront option, where you will need to: (i)enter into a month-by-month contract for the Securatrak Software licence(s); and (ii)make an upfront payment for Securatrak Hardware, Accessories and Services and other costs (“Upfront Option”), or (b)a repayment option, where you will need to: (i)enter into a month-by-month contract for the Securatrak Software Licence(s); and (ii)enter into a 36-month contract for the repayment of Securatrak Hardware, Accessories or Services and other costs paid in monthly instalment; (“Repayment Option”). 34.15If we offer you a Repayment Option, property in and title to any Securatrak Hardware devices (and accessories, if applicable) under the Repayment Option passes from us to you on delivery of the Securatrak Hardware to you. 34.16If you fail to pay the monthly instalments, we may suspend or cancel your Securatrak Solution in accordance with the General Terms of Our Customer Terms.
Cancelling, Changing or Terminating the Securatrak Solutions
34.17Hardware ETCs will apply for the Securatrak Hardware in accordance with clauses 34.20, below. 34.18You can cancel your Securatrak Software licence at any time by telling us in writing at least 30 days beforehand. However, if you cancel a Securatrak Software licence, you will be unable to use the Securatrak Solution. 34.19We may cancel your Securatrak Software licence immediately if you become insolvent or you fail to maintain your Securatrak Hardware devices repayments. Hardware ETCs may apply. 34.20We may cancel your Securatrak Software licence if you breach any of these terms and conditions and you fail to remedy that breach within 14 days of receiving a written notice from us (or our nominated third party). Hardware ETCs may apply.
Termination
34.21We may terminate your access to our networks if you use them to adversely impact the operation and/or other customers’ enjoyment of our network or if you breach a material term of these terms, in accordance with the General Terms of Our Customer Terms. We will tell you before this happens. 34.22Where you acquire the Securatrak Solution on a Repayment Option and this contract is cancelled or terminated before expiry of the 36 month contract term for any reason other than Telstra’s breach, Telstra may charge you a Hardware ETC calculated as follows: -
